1. About these Terms and who we are

These Applicant Terms of Use ("Terms") are a legal agreement between you ("you," "your," or "Applicant") and Apron, LLC, an Oregon limited liability company located in Medford, Oregon ("Apron," "we," "us," or "our"). Apron provides a software platform (the "Service" or "Portal") that employers and other organizations ("Employers") use to receive and evaluate employment applications. You are using the Portal because an Employer (the "Employer") has invited you to apply or has made its application available to you.

Apron provides the software. The Employer, not Apron, is the prospective employer and the decision-maker for your application. Apron does not make hiring decisions and is not your employer or prospective employer.

2. Acceptance

By accessing or using the Portal, including by clicking "Start," "Apply," or a similar control, you agree to these Terms and to our Privacy Notice, which is incorporated by reference. If you do not agree, do not access or use the Portal. If you are using the Portal on behalf of another person, you represent that you are authorized to do so.

3. Eligibility

You must meet the minimum age stated by the Employer for the position to which you are applying, and you must be legally permitted to work in the position's jurisdiction. By submitting an application, you represent that you meet the applicable requirements. If you are a minor where you reside, you represent that your parent or legal guardian is aware of and consents to your use of the Portal.

4. Your responsibilities

You agree to: (a) provide information that is true, accurate, current, and complete; (b) complete the Portal's questions and assessments yourself, without help from another person, an artificial-intelligence tool, or outside reference materials, unless an item expressly says such help is allowed; and (c) not attempt to interfere with, disrupt, probe, or gain unauthorized access to the Portal or its systems.

5. Assessment integrity

The Employer may use technical measures, consistent with applicable law and our Privacy Notice, to evaluate the integrity and authenticity of submissions (for example, timing and interaction signals). By using the Portal, you acknowledge that the Portal records how you interact with it, as described in the Privacy Notice, including timing, typing, paste/copy, idle, and navigation activity, for integrity and security purposes. Whether such signals are present is one of many factors an Employer may consider. The Portal's assessment content is confidential; you agree not to copy, record, reproduce, distribute, or publish any questions, scenarios, or other assessment materials.

6. Intellectual property; limited license

The Portal and all of its content, including software, text, assessments, questions, scoring logic, and design (the "Apron Content"), are owned by Apron or its licensors and are protected by intellectual-property laws. Apron grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Portal solely to complete your application. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Portal or Apron Content, except as expressly permitted.

7. Your content

"Your Content" means the information and materials you submit, including your responses and any resume or documents you upload. You retain ownership of Your Content. You grant Apron a license to host, store, process, and transmit Your Content as necessary to provide the Service to the Employer and as described in the Privacy Notice. You represent that you have the right to provide Your Content and that it does not infringe any third party's rights. Do not submit sensitive information that is not requested (for example, health information, Social Security numbers, or government identifiers) unless an item specifically asks for it.

8. Accommodations

If you need a reasonable accommodation to complete the Portal because of a disability, please review the Disability / Accommodations Notice and contact the Employer before submitting your application. The Employer is responsible for evaluating and providing reasonable accommodations consistent with applicable law.

9. No employment relationship

Your use of the Portal and submission of an application do not create any employment relationship, offer of employment, or promise of employment with the Employer or with Apron, and do not guarantee an interview or any particular outcome. Any employment relationship that may later arise is solely between you and the Employer.

10. Apron is not the employer; Employer responsibility

Apron is a service provider to the Employer. Apron does not control and is not responsible for the Employer's hiring criteria, hiring decisions, communications, or employment practices, including any decision to extend, decline, or terminate employment. Questions, concerns, or claims about your application or any employment relationship should be directed to the Employer.

11. Disclaimer of warranties

THE PORTAL AND APRON CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. APRON DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APRON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PORTAL. APRON'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PORTAL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS CAP DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING CERTAIN STATUTORY PRIVACY CLAIMS, OR TO APRON'S INDEMNIFICATION OBLIGATIONS.

13. Indemnification

You agree to indemnify and hold harmless Apron from claims arising out of your breach of these Terms, your misuse of the Portal, or your violation of law or the rights of a third party, to the extent permitted by applicable law.

14. Changes and availability

We may modify or discontinue the Portal, or update these Terms, at any time. If we make material changes to these Terms, we will update the "Last Updated" date and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules.

16. Miscellaneous

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, with the Privacy Notice, are the entire agreement between you and Apron about the Portal. You may not assign these Terms; Apron may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only. You may accept these Terms electronically, which has the same effect as a handwritten signature.
